Mutual Non-Disclosure Agreement

This agreement is entered into between Estrella Company PTY LTD and the undersigned party (the “Disclosing Parties”).

01Definition of Confidential Information

“Confidential Information” means any non-public information disclosed by either party to the other, whether orally, in writing, or by any other means, including but not limited to:

  • Business ideas, concepts, strategies, and plans
  • App concepts, product roadmaps, and technical details
  • Client information and commercial relationships
  • Financial information, pricing, and projections
  • Any other information designated as confidential at the time of disclosure

02Mutual Obligations

Each party agrees to:

  • Keep all Confidential Information strictly confidential
  • Not disclose Confidential Information to any third party without prior written consent
  • Use Confidential Information solely for the purpose of evaluating a potential business relationship
  • Take reasonable steps to protect the confidentiality of the information received

03Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was already known to the receiving party prior to disclosure
  • Is independently developed by the receiving party without use of the Confidential Information
  • Is required to be disclosed by law or court order

04Term

This Agreement commences on the date of acceptance and remains in effect for a period of two (2) years, unless terminated earlier by mutual written agreement.

05No Licence

Nothing in this Agreement grants either party any rights, licences, or ownership in the other party’s Confidential Information, intellectual property, or business ideas.

06Governing Law

This Agreement is governed by the laws of the State of Victoria, Australia. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Victoria.

07Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior discussions and agreements relating to confidentiality between the parties.
